Company provides check verification, recovery and guarantee services - primarily to retail establishments (RE). These services help to prevent and/or limit losses from accepting checks.

Company owns (3) franchise territories: Cleveland, Akron and Detroit.
Company pays franchisor 5.5% of all fees charged to RE and related service charges collected from check writers (CW) for returned checks. Cleveland & Akron agreements expire in 1/06 and Detroit expires in 7/06. If agreements are not renewed, cash flow would permanently increase $60-75k per year.

If a check is guaranteed, company charges a guarantee fee and is obligated to reimburse the RE (at face value) for the returned checks. Company then collects the face value of the check and a statutory service charge from the CW. It is estimated that 71% of the face value of returned guaranteed checks and related service charges, will ultimately be collected (most within 90 days).

Profitability is primarily derived from collecting more in verification fees, guarantee fees, account level fees, and service charges than any losses on returned guaranteed checks. Equipment sales are profitable but are very minor.
